1. General Overview:
This website is operated by Excelsior Nexus Trading, with its registered office at WeWork Cinnabar Hills, Embassy Golf Links Business Park, Bengaluru, Karnataka 560071, India. By accessing this website, submitting a Request for Quote (RFQ), or providing excess inventory lists, you agree to be bound by these Terms and Conditions.
2. B2B Operations & Scope of Business:
Excelsior Nexus Trading operates exclusively as a Business-to-Business (B2B) independent electronic component distributor. Sourcing and procurement activities are strictly limited to commercial entities, Original Equipment Manufacturers (OEMs), and Electronic Manufacturing Services (EMS) providers. We do not engage in retail consumer transactions.
3. Inventory Submissions & Quotations:
The submission of an excess inventory list or RFQ does not constitute a legally binding contract.
Purchasing: All lot purchases are subject to physical on-site inspection, Date Code verification, and the issuance of a formal Purchase Order (PO) by Excelsior Nexus Trading.
Sales: Outgoing quotations are valid for 24 hours from issuance unless otherwise noted in writing, subject to prior sale (STPS) and stock availability.
4. Strict Trade Compliance & End-Use Restrictions:
Excelsior Nexus Trading operates in strict adherence to domestic and international trade compliance laws.
We exclusively procure, market, and distribute commercial, industrial, telecommunications, and automotive-grade electronic components.
We explicitly prohibit the transaction of components, assemblies, or materials designated, specified, or documented for military, defense, aerospace, or MIL-SPEC applications.
The counterpart agrees that no goods procured from or sold to Excelsior Nexus Trading will be diverted to restricted entities, embargoed destinations, or utilized for prohibited military end-uses.
5. Limitation of Liability:
Excelsior Nexus Trading’s maximum liability is strictly limited to the total purchase price of the specific components proven to be defective. Under no circumstances shall we be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, line-down costs, product recalls, rework costs, or sourcing delays arising from component obsolescence or supply chain disruptions.
6. Governing Law & Jurisdiction:
These terms and conditions and any related commercial engagements shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the competent courts in Karnataka, India.
